StayPut Terms of Sale

U.S. Sales Only

Purchases from StayPut are available only to customers based in the United States. While our products may function internationally for travelers, we currently only sell to customers based in the United States. You agree not to use or attempt to use any StayPut product or service from outside of the United States for purchase purposes or for any illegal or unlawful purpose. You also agree not to transfer or otherwise provide any StayPut product or System components to any third party for use outside of the United States.

To the extent permitted under applicable law, any sale, offer of sale, transfer or attempted transfer of any StayPut product or System components to a third party outside the U.S. relieves StayPut of any obligations under these terms and makes you the seller or transferer liable for those obligations at StayPut's sole discretion.

Sales to End Users Only

Purchases made through the StayPut website are for end user customers only. To the extent permitted by applicable laws, any offers of transfers, transfers, offers of sale, sales or resales to dealers, resellers or distributors or any other third-party anywhere in the world are prohibited and invalidate the Limited Warranty described hereinafter. This Limited Warranty shall also only apply to sales made to end user customers directly from StayPut.

Payment Methods

StayPut accepts credit cards, debit cards, and purchase orders (PO) as forms of payment. If a credit card is being used for a transaction, StayPut may obtain a pre-approval from the credit card company for an amount up to the amount of the order. Billing to your credit card occurs at the time of purchase or when the order is shipped.

StayPut accepts the following credit cards: Visa, MasterCard, American Express, and Discover. We are unable to accept credit cards issued by banks outside of the United States. Debit cards and check cards have daily spending limits that may prevent the processing of your order.

Purchase Order (PO) Payments

For purchase order payments, please submit your PO through the payment portal and email your purchase order document to po@stayputsecurity.com.

Important: Once you submit a PO, you cannot change order details including trip address, dates, or number of rooms. If your order includes hardware, your order will not be shipped until the PO is received and approved.

10-Day Deadline: If your PO documentation is not received within 10 days of submission, your order will be cancelled.

Payment Terms: We use NET 30 payment terms, meaning payment is due 30 days from when your PO is received and approved by StayPut.

Prices

Your total price will include the price of the products in your order plus any applicable sales tax and shipping charges, less any discounts offered. StayPut reserves the right to change prices for products offered at any time, and does not provide price protection or refunds in the event of a price drop or promotional offering. In the event a product is listed at an incorrect price due to typographical error or error in pricing information received from our suppliers, we shall have the right to refuse or cancel any orders placed for product/service listed at the incorrect price. We shall have the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit or debit card charged. If your credit or debit card has already been charged for the purchase and your order is canceled, we shall immediately issue a credit to your credit or debit card account in the amount of the incorrect price.

Sales Tax

StayPut website transactions will include sales tax based on the delivery address and the sales tax rate in effect at the time your transaction is completed. If the sales tax rate for the state to which your order is being shipped changes before the product is shipped, the rate in effect at the time your order was received will apply. You are responsible for all applicable sales taxes, and StayPut has the right to collect any tax it believes it is obligated to collect.

Shipping

Delivery will be by common carrier F.O.B StayPut's shipping point. You assume sole risk of loss or destruction to the System during shipment. All shipments are made within the United States only. StayPut does not ship internationally.

Cancellation and Refunds

Cancellation of Monitoring Services

Monitoring-Only Orders: You may cancel your monitoring services before payment is processed. Once an invoice for monitoring-only services is paid, cancellations may be considered on a case-by-case basis. Please contact us at contact@stayputsecurity.com to request a cancellation.

Cancellation of Hardware Orders

Hardware + Monitoring Orders: If your order includes hardware purchase, cancellation requests must be initiated before your trip start date. To receive a refund, you must return the hardware to StayPut. You are responsible for return shipping costs. The cancellation process should begin before your trip date to ensure timely processing.

Refunds for Trip Changes

Weather/Emergency Cancellations: If your trip is cancelled or shortened due to weather, emergencies, or other unforeseen circumstances, you may be eligible for a refund for unused nights. Refunds will be issued for the portion of monitoring services (nights) that were not used.

Trip Date Changes: If you need to change your trip dates, contact us as soon as possible. We will work with you to reschedule your Services when feasible. No change fees apply, but date changes are subject to availability and our ability to accommodate the new dates.

Refund Processing

Approved refunds will be issued to the original payment method within 14 business days of approval. For hardware returns, refunds will be processed after we receive and inspect the returned equipment.

Limited Warranty

StayPut warrants to you, the initial purchaser of the System from StayPut, that each of the StayPut branded products you purchase directly from StayPut that make up your StayPut System ("Covered Products") will be free from defects in materials and workmanship under normal use and service for one (1) year from the date that Covered Products are delivered to your shipping address per your online order. This limited hardware warranty is non-transferrable. As a condition of this warranty, StayPut may require that you provide proof of purchase during the warranty period and/or return the defective Covered Product. If StayPut requires the return of the defective Covered Product, return shipping costs will be paid for by StayPut.

This Limited Warranty is in lieu of all other warranties whether expressed, implied or statutory, including but not limited to any implied warranties of merchantability or fitness for a particular purpose (which are hereby expressly disclaimed) and in no event shall StayPut be liable for any consequential or incidental damages arising in any way out of the distribution, sale or use of the Covered Products. Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation may not apply to you.

This Limited Warranty gives you specific legal rights, and you may also have other rights that vary from state to state. The Limited Warranty also does not include: (a) damage to any component of the Covered Products due to accident, abuse, misuse, or act of God; (b) equipment that has been subjected to modification or alteration; or (c) equipment not installed in accordance with the manufacturer's instructions.

Limitation of Liability

IN NO EVENT WILL STAYPUT, ITS AFFILIATES OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR PURCHASE OR USE, OR INABILITY TO USE, THE SYSTEM, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN IF FORESEEABLE. THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

Indemnification

You agree to defend, indemnify and hold harmless StayPut, its affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Sale or your use of the System, including, but not limited to, any use of the System's content, services and products other than as expressly authorized in these Terms of Sale. THE FOREGOING INDEMNIFICATION OBLIGATIONS MAY NOT BE ENFORCEABLE IN SOME STATES, SO SUCH OBLIGATIONS MAY NOT APPLY TO YOU.

Governing Law and Jurisdiction

These Terms of Sale shall be governed by and construed according to the laws of the State of Oklahoma without reference to its conflicts of law rules. The interpretation of these Terms of Sale shall not be construed against the drafter. You agree that any action at law or in equity arising out of or relating to these Terms of Sale shall be filed only in the state and federal courts located in Oklahoma County, Oklahoma and you hereby irrevocably and unconditionally consent and submit to the exclusive jurisdiction of such courts over any suit, action, or proceeding arising out of these Terms of Sale.

Disputes and claims arising under the Terms of Service shall be subject to the corresponding dispute resolution provisions set forth therein, including the requirement to use binding arbitration rather than jury trials or class actions.

Waiver and Severability

No waiver by StayPut of any term or condition set forth in these Terms of Sale shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of StayPut to assert a right or provision under these Terms of Sale shall not constitute a waiver of such right or provision. If any provision of these Terms of Sale is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Sale will continue in full force and effect.

Entire Agreement

The Terms of Sale, our Terms of Service, our Website Terms of Use and our Privacy Policy constitute the sole and entire agreement between you and StayPut with respect to the purchase and use of the System and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to your purchase and use of the System.

For the avoidance of doubt, the Terms of Service, including any related terms or policies referenced or incorporated therein, govern your use of any products or services you have selected to receive from StayPut, including account information and account management. Any conflicts between these Terms of Sale and the Terms of Service shall be superseded and governed by the Terms of Service (and solely as applicable). Any claims and disputes arising thereunder, and not from these Terms of Sale, shall be subject solely to those terms and not these Terms of Sale.
