StayPut Terms of Service

1. INTRODUCTION

These Terms of Service ("Terms") govern your access to and use of the monitoring services ("Services") provided by StayPut, LLC ("StayPut," "we," "us," or "our"). By purchasing, activating, or using our Services, you ("Customer," "you," or "your") agree to be bound by these Terms.

StayPut provides alert notification services through LoRaWAN door sensors and LTE LoRaWAN gateways designed for trip chaperones and teachers to monitor curfew compliance during educational trips. Our Services are tools to assist with student supervision and are not a replacement for direct supervision or safety monitoring.

Please read these Terms carefully before using our Services. If you do not agree to these Terms, you may not use our Services. These Terms should be read in conjunction with our Terms of Sale (which govern hardware purchases) and our Privacy Policy .

2. DESCRIPTION OF SERVICES

Alert Notification Services

StayPut provides alert notification services that notify designated chaperones or teachers when a monitored door sensor is opened. Alert methods include:

  • Push notifications (via mobile app)
  • Email alerts
  • SMS text messages
  • Voice call alerts

Monitoring Model

Our Services operate on a per-room, per-night fee structure for the duration of your trip. There is no ongoing subscription after your trip concludes. You purchase the monitoring service for specific dates corresponding to your trip.

Service Components

Our Services include:

  • Real-time door sensor monitoring through our LTE gateway
  • Alert delivery through your chosen notification methods
  • Access to our mobile application for push notification receipt
  • Generation of a trip report following the conclusion of your trip
  • Customer support via email at contact@stayputsecurity.com

3. ELIGIBILITY AND ACCOUNT REGISTRATION

Eligibility Requirements

To use our Services, you must be at least 18 years of age and have the authority to enter into these Terms. If you are using our Services on behalf of an organization (such as a school or educational institution), you represent and warrant that you have the authority to bind that organization to these Terms.

Account Registration

To activate Services, you must create an account with accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized account access
  • Ensuring your contact information remains current and accurate

Educational Institution Customers

If you are purchasing Services on behalf of an educational institution, both you as an individual and the institution are bound by these Terms. You represent that you have obtained all necessary authorizations and approvals from the institution to enter into these Terms and use our Services.

Educational institutions are responsible for ensuring compliance with all applicable student privacy laws and regulations, including obtaining any necessary parental or guardian consents for monitoring students during trips.

4. FEES AND PAYMENT

Service Fees

Monitoring services are charged on a per-room, per-night basis. Fees are calculated based on the number of rooms you wish to monitor and the number of nights of your trip. Current pricing is available on our website or by contacting us directly.

Payment Terms

Payment terms depend on your order:

  • Monitoring Services Only: Invoices must be paid at least 2 business days prior to your trip start date.
  • Hardware + Monitoring Services: Invoices must be paid at least 2 weeks (14 calendar days) prior to your trip start date to allow for equipment shipment and setup.

We accept payment via credit card, debit card, check, and purchase orders from qualifying educational institutions. For institutional customers, we can accommodate Net 30 or other payment terms by prior arrangement.

Sales Tax Exemptions

Educational institutions with valid tax-exempt status may provide appropriate exemption certificates. We will work with qualifying institutions to process sales tax exemptions in accordance with applicable state law.

Late Payment

If payment is not received by the required deadline, StayPut reserves the right to suspend or cancel Services. You remain responsible for all amounts due, including any collection costs or legal fees incurred in collecting unpaid amounts.

5. SERVICE ACTIVATION AND DURATION

Service Start Date

Monitoring services begin on the first day of your scheduled trip as specified in your order. Services are active for the number of nights purchased.

Service Duration

Services are provided for the specific trip dates you have purchased. There is no ongoing subscription or recurring billing. Each trip requires a separate service activation and payment.

Service Conclusion

Services automatically conclude at the end of your last purchased night. Following trip conclusion, we will generate a trip report summarizing sensor events. Device event logs are deleted after the trip report is generated.

6. CANCELLATION AND REFUNDS

Cancellation of Monitoring Services

Monitoring-Only Orders: You may cancel your monitoring services before payment is processed. Once an invoice for monitoring-only services is paid, cancellations may be considered on a case-by-case basis. Please contact us at contact@stayputsecurity.com to request a cancellation.

Cancellation of Hardware Orders

Hardware + Monitoring Orders: If your order includes hardware purchase, cancellation requests must be initiated before your trip start date. To receive a refund, you must return the hardware to StayPut. You are responsible for return shipping costs. The cancellation process should begin before your trip date to ensure timely processing.

Refunds for Trip Changes

Weather/Emergency Cancellations: If your trip is cancelled or shortened due to weather, emergencies, or other unforeseen circumstances, you may be eligible for a refund for unused nights. Refunds will be issued for the portion of monitoring services (nights) that were not used.

Trip Date Changes: If you need to change your trip dates, contact us as soon as possible. We will work with you to reschedule your Services when feasible. No change fees apply, but date changes are subject to availability and our ability to accommodate the new dates.

Refund Processing

Approved refunds will be issued to the original payment method within 14 business days of approval. For hardware returns, refunds will be processed after we receive and inspect the returned equipment.

7. ACCEPTABLE USE AND RESTRICTIONS

Permitted Use

Our Services are designed for use by trip chaperones, teachers, and educational supervisors to monitor curfew compliance during educational trips. You may only use our Services for lawful purposes and in accordance with these Terms.

Prohibited Uses

You agree not to:

  • Use the Services in any manner that violates any applicable federal, state, local, or international law or regulation
  • Use the Services to monitor individuals without their knowledge or consent where such monitoring would be illegal
  • Attempt to gain unauthorized access to our systems, networks, or data
  • Interfere with or disrupt the integrity or performance of the Services
  • Use the Services for stalking, harassment, or any other unlawful surveillance
  • Reverse engineer, decompile, or otherwise attempt to extract the source code of our software
  • Remove, obscure, or alter any proprietary rights notices on our equipment or software
  • Use the Services in any manner that could harm minors
  • Resell, redistribute, or provide access to the Services to third parties without our written consent

Compliance with Student Privacy Laws

You are solely responsible for ensuring your use of the Services complies with all applicable student privacy laws and institutional policies, including obtaining necessary parental or guardian consents and providing appropriate notice to students regarding monitoring.

Suspension for Violation

We reserve the right to suspend or terminate your access to the Services immediately if we believe you are violating these Terms or using the Services for unlawful purposes.

8. EQUIPMENT AND INSTALLATION

Equipment Ownership

When you purchase StayPut hardware (door sensors and gateways), you own that equipment. If equipment is lost or damaged, you are responsible for purchasing replacement equipment at full retail price.

Customer Installation Responsibility

You are responsible for installing the door sensors and gateway. We provide written installation guides to assist you. Installation requires:

  • Mounting door sensors using provided 3M Command strips on solid door surfaces and door frames
  • Placing the gateway in a location with adequate cellular coverage
  • Configuring the system through our mobile application

Installation Requirements

For proper functionality, door sensors require:

  • Solid door surface and door frame (not glass or mesh)
  • Clean, dry surface for adhesive mounting
  • Proper alignment between sensor and magnet components (typically within 1 inch)

The LTE gateway requires cellular coverage in your usage area. While our SIM card works worldwide, actual service availability depends on local cellular networks.

Improper Installation

StayPut is not responsible for service failures, false alarms, or missed alerts resulting from improper installation, including:

  • Sensors installed on unsuitable surfaces
  • Incorrect sensor placement or alignment
  • Gateway placed in areas with insufficient cellular coverage
  • Failure to follow provided installation instructions

Technical Support

We provide technical support via email at contact@stayputsecurity.com. Support includes assistance with installation questions, system configuration, and troubleshooting.

9. SERVICE AVAILABILITY AND LIMITATIONS

Service Interruptions

Our Services may be temporarily unavailable due to:

  • Scheduled or emergency maintenance
  • Cellular network outages or coverage limitations
  • Internet service interruptions
  • Third-party service provider failures
  • Acts of God, natural disasters, or force majeure events
  • Equipment malfunction or battery depletion
  • Interference from other wireless devices or systems

Geographic and Environmental Limitations

While our equipment can function in many locations worldwide where cellular coverage exists, we make no warranty that the Services will function in all locations. Factors affecting functionality include:

  • Local cellular network availability and compatibility
  • Building construction materials that may block signals
  • Distance between sensors and gateway
  • Environmental interference

You are responsible for verifying that adequate cellular coverage exists at your trip location before relying on our Services.

Alert Delivery Limitations

Alert delivery depends on factors beyond our control, including:

  • Your mobile device's internet connection and notification settings
  • Email provider spam filters and delivery delays
  • SMS carrier network delays or failures
  • Voice call carrier network issues

We cannot guarantee that you will receive alerts in real-time or at all. You should not rely solely on our Services for critical safety or security needs.

False Alerts and Missed Alerts

Our system may generate false alerts (notifications when no actual door opening occurred) or may fail to detect actual door openings due to equipment limitations, installation issues, interference, or other factors. StayPut makes no warranty regarding the accuracy or completeness of alerts.

International Use

While our equipment may function during international trips where cellular coverage exists, we do not guarantee service availability outside the United States. International use may be subject to additional limitations including:

  • Local regulatory restrictions on wireless devices
  • Cellular network incompatibilities
  • Increased latency or reduced performance

10. DATA AND PRIVACY

Data Collection

In connection with providing Services, we collect and process:

  • Door sensor event data (timestamps of when doors are opened/closed)
  • Gateway and device connectivity information
  • Customer account information (name, email, phone number, trip details)
  • Alert notification delivery records

Data Retention and Deletion

Device event logs are retained only until your trip report is generated, which occurs the day after your trip concludes. After the trip report is generated, the underlying event logs are permanently deleted.

Trip reports are stored in your account and remain accessible unless you request deletion. You may request deletion of your account data by contacting us at legal@stayputsecurity.com.

Privacy Policy

Our collection, use, and protection of your data is governed by our Privacy Policy , which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our privacy practices.

Student Data and Educational Records

If you are using our Services in connection with monitoring students, you are responsible for complying with all applicable student privacy laws, including but not limited to the Family Educational Rights and Privacy Act (FERPA), the Protection of Pupil Rights Amendment (PPRA), and any applicable state student privacy laws.

You represent and warrant that you have obtained all necessary consents, authorizations, and approvals required under applicable law to collect, use, and disclose student information in connection with your use of our Services.

Data Security

We implement reasonable security measures to protect the data we collect. However, no system is completely secure, and we cannot guarantee the absolute security of your data. You acknowledge and accept the risks associated with transmitting data over the internet.

10A. SMS AND TEXT MESSAGING PROGRAM

StayPut may send you text messages (SMS) for the following purposes:

  • Phone number verification: One-time verification codes when you add or update your phone number in your account
  • Curfew alert notifications: Alerts when a door sensor is opened during curfew hours on a trip you are monitoring

By providing your phone number and opting into our text messaging program, you consent to receive these messages. Message and data rates may apply. Message frequency varies—verification codes are sent only when requested; curfew alerts are sent only when a monitored door is opened during curfew.

Opt-out: To stop receiving messages, reply STOP to any message at any time. You may also disable SMS alerts in your account notification preferences.

Help: For assistance, reply HELP to the number from which you received the message, or contact us at contact@stayputsecurity.com.

Carriers are not liable for delayed or undelivered messages. Supported carriers may vary.

11. DISCLAIMERS AND LIMITATIONS

Not a Safety or Security System

IMPORTANT: StayPut Services are alerting tools designed to assist trip chaperones and teachers with curfew monitoring. Our Services are NOT:

  • A substitute for direct supervision of students or minors
  • An alarm system or emergency notification system
  • A safety or security monitoring system
  • Monitored by any security company or law enforcement
  • Designed to detect or prevent unauthorized intrusions
  • Designed to detect fires, medical emergencies, or other emergency conditions

No Alarm Monitoring Services

StayPut does not provide alarm monitoring services as defined by Oklahoma law or the laws of any other state. We do not:

  • Monitor for burglary, intrusion, or unauthorized entry
  • Contact law enforcement, fire departments, or emergency services
  • Provide 24/7 monitoring by trained security personnel
  • Verify or respond to alerts on your behalf

You are solely responsible for responding to alerts and taking appropriate action based on the information provided by our Services.

Limitation on Student Supervision

YOU ACKNOWLEDGE AND AGREE that StayPut Services are not a replacement for adequate supervision of students or minors. Educational institutions, trip chaperones, and supervisors remain fully responsible for student safety, supervision, and welfare. Our Services do not reduce, eliminate, or transfer this responsibility.

Services Provided "As-Is"

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

No Warranty of Functionality

STAYPUT DOES NOT WARRANT THAT:

  • The Services will be uninterrupted, timely, secure, or error-free
  • Any alerts or notifications will be delivered reliably
  • The Services will detect all door openings or prevent false alerts
  • The Services will meet your specific requirements
  • The Services will be available or function properly in all locations
  • Defects in the Services will be corrected

12. LIMITATION OF LIABILITY

No Liability for Supervision or Safety

STAYPUT SHALL NOT BE LIABLE FOR ANY CLAIMS, DAMAGES, OR LOSSES ARISING FROM:

  • Personal injury, death, or harm to students or other persons
  • Failure to adequately supervise students or respond to their needs
  • Student misconduct, accidents, or behavioral issues
  • Inadequate trip planning or supervision
  • Failure to detect door openings or delayed alert delivery
  • False alerts or equipment malfunctions

Maximum Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STAYPUT'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT, INCLUDING NEGLIGENCE, OR OTHERWISE) EXCEED THE AMOUNT YOU PAID TO STAYPUT FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STAYPUT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Cost of substitute services
  • Property damage
  • Personal injury or emotional distress
  • Loss of reputation or goodwill

This limitation applies regardless of whether StayPut has been advised of the possibility of such damages and regardless of the legal theory on which the claim is based.

Force Majeure

StayPut shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to:

  • Acts of God, natural disasters, severe weather
  • War, terrorism, civil unrest, or labor disputes
  • Government actions, laws, or regulations
  • Failure or interruption of cellular networks, internet services, or third-party platforms
  • Changes impacting third-party communications networks or technology platforms
  • Power outages or equipment failures

State Law Variations

Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. In such states, our liability shall be limited to the greatest extent permitted by law.

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless StayPut, LLC, its officers, directors, employees, agents, affiliates, and service providers (collectively, the "StayPut Parties") from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

  • Your use or misuse of the Services
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of any third-party rights, including student privacy rights
  • Any claims related to inadequate supervision of students or minors
  • Personal injury, property damage, or other harm arising from your use of the Services
  • Failure to obtain necessary consents or authorizations for student monitoring
  • Your installation, configuration, or operation of StayPut equipment

This indemnification obligation survives termination of these Terms and your use of the Services.

14. DISPUTE RESOLUTION AND ARBITRATION

Mandatory Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services, including the breach, termination, enforcement, interpretation, or validity thereof (collectively, "Disputes"), shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes.

Arbitration Procedures

The arbitration shall be conducted by a single neutral arbitrator in Oklahoma County, Oklahoma, or at another mutually agreed location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Each party shall bear its own costs and attorneys' fees, except that the arbitrator may award reasonable costs and attorneys' fees to the prevailing party if permitted by applicable law.

Class Action Waiver

YOU AND STAYPUT AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

The arbitrator may not consolidate more than one party's claims and may not preside over any form of representative or class proceeding.

Pre-Arbitration Dispute Resolution

Before initiating arbitration, you agree to first contact us at legal@stayputsecurity.com to attempt to resolve the dispute informally. We will attempt to resolve any Dispute through informal negotiation within 60 days of receiving notice of the Dispute.

Exceptions to Arbitration

Either party may seek equitable relief in court to protect intellectual property rights or confidential information. Additionally, either party may bring an action in small claims court if the claim qualifies for such court.

Opt-Out Right

You may opt out of this arbitration agreement by sending written notice of your decision to opt out to legal@stayputsecurity.com within 30 days of first accepting these Terms. Your opt-out notice must include your name, address, email address, and a clear statement that you wish to opt out of this arbitration agreement.

Governing Law and Venue

If you validly opt out of the arbitration agreement, or if any portion of this arbitration agreement is found to be unenforceable, any judicial proceeding must be brought exclusively in the state or federal courts located in Oklahoma County, Oklahoma. Both parties consent to venue and personal jurisdiction in these courts.

These Terms and any disputes shall be governed by and construed in accordance with the laws of the State of Oklahoma, without regard to its conflict of law principles.

Time Limitation on Claims

You must commence any claim or action arising from these Terms or the Services within one (1) year after the claim or cause of action arises, or the claim shall be permanently barred.

15. TERMINATION

Natural Termination

Your Services automatically terminate at the end of your purchased trip duration. No action is required from you to terminate Services after your trip concludes.

Early Termination by Customer

You may request early termination of Services by contacting us at contact@stayputsecurity.com. Early termination may entitle you to a refund for unused nights as described in Section 6 (Cancellation and Refunds).

Termination by StayPut

We may suspend or terminate your access to the Services immediately, without notice, if:

  • You violate these Terms
  • You fail to pay amounts due
  • You use the Services for unlawful purposes
  • We believe your use of the Services poses a risk to StayPut, other customers, or third parties
  • We are required to do so by law or legal authority

Effect of Termination

Upon termination of Services:

  • Your access to the Services will immediately cease
  • Alert notifications will no longer be delivered
  • You will retain access to any generated trip reports
  • Any amounts due for Services provided before termination remain payable
  • Provisions of these Terms that by their nature should survive termination shall survive, including warranty disclaimers, limitations of liability, indemnification obligations, and dispute resolution provisions

Account Deletion

You may request deletion of your account and associated data by contacting us at legal@stayputsecurity.com. Account deletion is subject to our data retention obligations and may not be immediate.

16. MODIFICATIONS TO TERMS

Right to Modify

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of these Terms and post the revised Terms on our website.

Notice of Changes

For material changes to these Terms, we will notify you by email at the address associated with your account at least 30 days before the changes take effect. We may also provide notice through our website or mobile application.

Acceptance of Modified Terms

Your continued use of the Services after the effective date of modified Terms constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Services.

Active Trips

For customers with active trips at the time of a Terms modification, the previous version of the Terms shall continue to apply through the conclusion of that trip. The modified Terms will apply to any future trips or Services.

17. GENERAL PROVISIONS

Entire Agreement

These Terms, together with our Terms of Sale and Privacy Policy, constitute the entire agreement between you and StayPut regarding the Services and supersede all prior agreements, understandings, and communications, whether oral or written.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be replaced with a valid, legal, and enforceable provision that most closely matches the intent of the original provision.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. StayPut's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights and obligations hereunder without StayPut's prior written consent. StayPut may assign these Terms and its rights and obligations without restriction, including in connection with a merger, acquisition, or sale of assets.

Third-Party Beneficiaries

These Terms are for the sole benefit of you and StayPut and do not create any third-party beneficiary rights.

Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms due to circumstances beyond its reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

Notices

All notices required or permitted under these Terms shall be in writing and delivered by email to the addresses provided by each party. Notices to StayPut should be sent to legal@stayputsecurity.com. Notices to you will be sent to the email address associated with your account.

Relationship of Parties

The parties are independent contractors. These Terms do not create any agency, partnership, joint venture, or employment relationship between you and StayPut.

Electronic Communications

By using the Services, you consent to receiving electronic communications from StayPut. These communications may include notices about your account, Services, and promotional messages. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements.

Interpretation

The headings and captions in these Terms are for convenience only and shall not affect the interpretation of these Terms. The words "include," "includes," and "including" shall be deemed to be followed by the phrase "without limitation."

Acknowledgment

BY USING STAYPUT SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. YOU FURTHER ACKNOWLEDGE THAT THESE TERMS, TOGETHER WITH THE TERMS OF SALE AND PRIVACY POLICY, REPRESENT THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND STAYPUT REGARDING THE SERVICES.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICES.
